These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Bidovate ("we", "us"), governing your access to and use of the Bidovate AI-powered procurement intelligence platform (the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
Description of Service
Bidovate provides a software-as-a-service (SaaS) platform for AI-driven procurement intelligence, including tender discovery across TED, Find a Tender, Contracts Finder, and 1,000+ portals; AI-powered document analysis; competitive intelligence; bid pipeline management; and agentic workflow automation. The Service is provided on a subscription basis as described in the applicable order form or pricing page.
Account Registration and Security
You must provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use at support@bidovate.co.
Subscription and Payment
- Subscriptions are billed in advance on a monthly or annual basis as selected at sign-up
- All fees are quoted in Euros (EUR) or Pounds Sterling (GBP) as applicable, and are exclusive of VAT
- VAT will be applied in accordance with applicable EU and UK tax regulations
- We reserve the right to modify pricing with 30 days' advance notice
- Failure to pay may result in suspension or termination of access
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Upload malicious code, viruses, or harmful content
- Share account credentials with unauthorised individuals
- Use the Service to engage in fraudulent bidding practices or bid rigging
- Systematically scrape or redistribute tender data outside your organisation without written authorisation
- Resell, sublicense, or redistribute the Service without written authorisation
Intellectual Property
All content, features, and functionality of the Service are owned by Bidovate and protected by applicable intellectual property laws. Your data remains your property. By using the Service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing the Service. This licence expires when you delete the relevant data or close your account.
GDPR Data Processing Addendum (Article 28)
Where we process personal data on your behalf as a data processor, the terms of our Data Processing Addendum ("DPA") apply. The DPA is incorporated into these Terms by reference and is available at /legal/dpa. The DPA addresses:
- Roles and responsibilities (controller and processor)
- Sub-processor management and notification
- Data subject access request handling
- Data breach notification procedures (within 72 hours of discovery, as required by GDPR Art. 33)
- Data deletion and return upon termination
- Audit rights
UK Procurement Act Compliance
For customers using the Service in connection with UK public procurement, we acknowledge:
- Compliance with the Procurement Act 2023 requirements for transparency and fairness
- Support for the publication of procurement documents in accordance with regulatory obligations
- The Service does not replace the Customer's own compliance obligations under the Act
Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to any third party without prior written consent, except as required by law.
Your uploaded documents, analysis results, and bid strategies are strictly confidential. We will never share your data or usage patterns with your competitors.
Warranties and Disclaimers
We warrant that the Service will perform materially in accordance with its documentation. Save as expressly provided, the Service is provided "as is" without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by applicable law. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
AI analysis is designed to assist your decision-making, not replace professional judgement. Always verify critical details directly with the procuring entity before submitting bids.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability arising out of or related to these Terms shall not exceed the amounts paid by you during the twelve months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law
Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately for material breach. Upon termination, you may request export of your data within 30 days. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
For customers based in the Republic of Ireland or contracting with our Irish operations, the laws of Ireland and the courts of Dublin shall apply as an alternative.
Changes to These Terms
We reserve the right to modify these Terms. Material changes will be communicated with at least 30 days' notice by email or prominent notice on the platform. Continued use after the effective date constitutes acceptance. If you disagree with any changes, you may cancel before the effective date.
